This offer (the “Offer”) is a proposal by the Licensor (RS Systems) to enter into an agreement granting rights to use the software product “Revit Common Data Environment” (“Revit CDE” or the “Product”). Payment of an invoice issued under this Offer constitutes the Licensee’s full and unconditional acceptance of its terms.
Before payment, check the license model, term, user limit, covered Revit Server versions, server count, support scope, update terms and currency. These parameters are fixed in the invoice, order or signed agreement.

2. Predmet dogovora
2.1. The Licensor grants the Licensee a non-exclusive right to use Revit CDE in the configuration and quantity specified in the License Key, for the term and Autodesk Revit versions paid for by the Licensee.

3. Tekhnicheskaya realizatsiya and postavka
3.1. The rights are delivered by providing the Licensee with the license file and access to the distribution package (CDE Server, Admin Panel and Synchronization Service components).

4. Srok and podderzhka
4.1. The license term is 1, 2, 3 or 5 years under a subscription model; alternatively, a perpetual license includes 12 months of updates.

Price, currency and taxes
All prices are denominated in USD. Payment may be accepted in USD or EUR at the exchange rate on the date of payment. Under the NPD tax regime the Licensor independently reports and pays the applicable tax; VAT is not charged.

Restrictions
The Licensee may not: transfer license keys to third parties; circumvent license controls; decompile, reverse-engineer or modify RevitCDE; use the software outside the paid parameters; or publish vulnerability reports or benchmark results without the Licensor's prior written consent.

Liability and governing law
RevitCDE is a professional infrastructure tool. The Licensee is solely responsible for backups, compatibility testing, access-rights configuration and lawful use of Autodesk Revit. The laws of the Russian Federation apply unless the parties agree otherwise in writing.
